Creator Agreement

1. Who We Are and What We Provide

Ironbay Innovations Pvt Ltd, operating the FireflyAI platform ("FireflyAI", "Company", "we", "us"), with its registered office at 14/102 Malhar Sahara Estate, Gorakhpur, Uttar Pradesh, India, operates a software-as-a-service platform that provides content creators ("Creator", "you") with tools to build, host, and monetise streaming channels. We are a technology infrastructure provider — we do not produce, curate, or editorially control the content creators publish.

Our relationship with you is analogous to a web-hosting or app-building service: we provide the platform; you are the publisher. We are not a co-author, co-producer, or joint publisher of any content you upload.

2. Eligibility

You must be at least 18 years of age to create a channel. By accepting this Agreement you represent that you are 18 or older and have full legal capacity to enter into a binding contract in your jurisdiction.

3. Content Ownership and Licence

You own your content. FireflyAI claims no ownership over any videos, images, audio, text, or other materials you upload.

By uploading content you grant FireflyAI a non-exclusive, worldwide, royalty-free, sublicensable licence to store, transcode, cache, and deliver that content solely for the purpose of operating the platform services you have signed up for. This licence ends when you delete the content or close your account, except where required for backup, legal hold, or abuse-investigation purposes.

You represent and warrant that:

• You own or have all necessary rights, licences, and permissions for every piece of content you upload.
• Your content does not infringe any third party's copyright, trademark, right of publicity, or other intellectual-property right.
• You have obtained written, informed consent from every identifiable individual who appears in your content.
• Where your content features adult or mature themes, every person depicted is 18 years of age or older, and you hold signed age-verification records that you will produce immediately on request.

4. Creator Responsibilities

You are the publisher. You are solely and exclusively responsible for:

• The legality, accuracy, and appropriateness of every piece of content you publish.
• All communications with your subscribers, including subscription terms, refunds, and disputes.
• Complying with all applicable laws in every jurisdiction where your content is accessible.
• Obtaining all necessary consents, clearances, and licences before publishing.
• Paying all applicable taxes on your revenue.
• Labelling adult or age-restricted content accurately and implementing any subscriber age-gate you are required by law to provide.

5. Prohibited Content

• Child sexual abuse material (CSAM) — any sexual depiction of a person under 18, real or AI-generated. We are required by law to report this to the relevant authority (CBI / NCMEC) and will do so without notice.
• Content that promotes, glorifies, or facilitates terrorism, genocide, or mass violence.
• Non-consensual intimate imagery (revenge porn) — sexual content featuring a real person published without their explicit consent.
• Content that facilitates human trafficking or sexual exploitation.
• Content that constitutes a direct credible threat of violence against a named individual.

Additional prohibited content (will result in takedown and may result in termination):

• Content that violates any applicable Indian or international law.
• Deliberate impersonation of another person or organisation in a deceptive manner.
• Doxxing — publishing private personal information (home address, phone number, ID documents, financial information) of individuals without consent.
• Content that incites discrimination or violence on the basis of religion, caste, ethnicity, gender, sexual orientation, or disability.
• Unauthorised distribution of copyrighted material belonging to third parties.
• Content used to conduct financial fraud, including pump-and-dump schemes, Ponzi schemes, or phishing.
• Promotion of controlled substances in a manner that facilitates illegal purchase or use.
• Malware, phishing links, or any content designed to compromise viewers' devices or accounts.

6. Age-Restricted and Adult Content

Adult content between consenting adults is permitted subject to the following conditions:

• You must enable the "Adult content" flag in your channel settings before publishing any such content.
• All individuals depicted must be 18 or older. You must hold and be able to produce age-verification documentation on request.
• You must include clear content warnings on individual episodes.
• You may not use misleading thumbnails or titles to surface adult content to general audiences.

We may apply additional age-gate measures or geo-restrictions to adult channels at any time without notice if required by law or platform policy.

7. Revenue and Payments

You set your own subscription price. FireflyAI charges a platform fee as set out in our current pricing schedule (available in your creator dashboard). The platform fee covers hosting, CDN delivery, payment processing infrastructure, and platform maintenance.

Revenue disbursements are subject to a minimum threshold and your payment method configuration. You are responsible for all taxes applicable to your earnings. FireflyAI is not responsible for any payment gateway fees charged by third-party processors.

FireflyAI may update its pricing with 30 days' written notice to your registered email address.

8. Content Moderation and Takedowns

FireflyAI may remove or restrict access to any content, at any time and without prior notice, if we reasonably believe it:

• Violates this Agreement or our Content Policy.
• Is the subject of a valid copyright takedown notice under our DMCA Policy.
• Is required to be removed by a court order or government directive from a competent Indian authority.
• Poses an imminent risk of harm to any individual.

For non-emergency violations we will make reasonable efforts to notify you before or at the time of removal so you have an opportunity to appeal. We aim to resolve appeals within 15 business days.

9. Account Suspension and Termination

FireflyAI may suspend or terminate your account without prior notice for zero-tolerance violations (Section 5). For other violations, we will ordinarily provide a written warning and an opportunity to cure before suspension or termination.

You may close your account at any time from your creator dashboard. On closure, your channel and all content will be scheduled for deletion within 30 days. Active subscriber relationships are your responsibility to wind down.

Termination does not release you from any accrued obligations under this Agreement, including indemnification obligations.

10. Indemnification

You agree to indemnify, defend, and hold harmless FireflyAI, its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your content or the use of the platform by your subscribers.
• Your breach of this Agreement, our Content Policy, or any applicable law.
• Any claim that your content infringes a third party's intellectual-property rights.
• Any claim by a subscriber or viewer arising from your content or your channel's subscription terms.

11. Limitation of Liability

To the maximum extent permitted by Indian law, FireflyAI's aggregate liability to you for any claim arising from or related to this Agreement shall not exceed the total platform fees paid by you to FireflyAI in the three months preceding the event giving rise to the claim.

FireflyAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of goodwill, even if advised of the possibility of such damages.

12. Platform Integrity

You agree not to:

• Attempt to reverse-engineer, decompile, or tamper with any part of the platform.
• Use automated tools to scrape content or subscriber data beyond your own channel data.
• Interfere with or circumvent any security, access control, or payment mechanism of the platform.
• Resell or sublicense platform access to third parties without our written consent.

13. India IT Act 2021 — Intermediary Status

FireflyAI operates as an "intermediary" under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. As required by law:

• We publish this Agreement, our Privacy Policy, and our Content Policy on our platform.
• We maintain a Grievance Officer who can be contacted at fireflyfitai.com/podcast/grievance.
• We will acknowledge complaints within 24 hours and resolve them within 15 days (or 30 days for copyright disputes).
• We will comply with valid orders from competent government or judicial authorities within the timeframes prescribed by law.
• CSAM will be removed within 24 hours of identification or receipt of a valid order.

As a Creator using our platform, you acknowledge that you are the publisher of your content and that intermediary safe-harbor protections available to FireflyAI do not extend to you as a publisher.

14. Changes to This Agreement

We may update this Agreement from time to time. We will notify you by email at least 30 days before any material change takes effect. Your continued use of the platform after the effective date of a change constitutes acceptance of the updated Agreement. If you do not accept a change, you may close your account before the effective date.

15. Governing Law and Disputes

This Agreement is governed by and construed in accordance with the laws of India. Any dispute arising from or related to this Agreement shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bengaluru, Karnataka, India. The language of arbitration shall be English.
